@Gorix PDL had plenty of practice, the JO and all subsequent acquisitions revealed to them what others tried to get away with on them, PDL wouldve simply used the same/similar tactics but in reverse on PPT! I do recall a certain clause that mngt at JO tried to insert that wouldve cost PDL for years post acqui and diminished the returns for PDL significantly, slicing a greater piece of the pie in favour of the owners/founders of JO at the time.....PDL picked it up last minute, was buried very deep in the detail. Even the advisers missed it (picked up by a very meticulous modeller).
PDL wouldve used that knowledge to stitch PPT up in favour of all the boutiques and egos in the former PDL entities....the advisors to PPT may have missed the clauses or not negotiated well enough...hence trapped them contractually after it was unconditional and too late to reneg the contract terms.
