Not sure if I'm correct in my interpretation, but from my reading of the scheme papers it seems that overseas investors will get cash for their shares rather than NST shares if the merger goes ahead? if that's correct then you might expect more sales of shares by Black Rock and State Street etc anytime the SP goes above the likely price on the merger date? As these folks are presumably holding shares for US based investors and similar.
