My name is William Pirie. I am a shareholder of Warriedar Resources, currently holding 69.35 million shares.
I will be voting no to the acquisition of Warriedar by Capricorn under the Scheme of Arrangement, as currently proposed.
On 23rd July 2025 Mark Connelly, the Warriedar chairman, called me to say that the company was being acquired by Capricorn Metals and asked for my support for the transaction. I declined, on the basis that I did not agree with the timing and, particularly, the pricing of the deal.
Last Thursday morning (28th August 2025) I sent Mark a signed voting intention statement that confirms my opposition to the Scheme of Arrangement as currently proposed. I have attached the statement I provided to Mark to this post.
I spoke with a number of other shareholders prior to sending this statement, to inform them of my intention to do so. A number of those shareholders executed their own intention statements following that conversation, and requested that I send those statements to the board on their behalf, so that the board would be in receipt of a range of individual shareholders’ views. I sent those statements to Mark, on behalf of each of those individual shareholders, at the same time as providing my own statement.
To reiterate my position: I want Warriedar to continue to drill out its rapidly expanding resource at Golden Corridor as an independent company. I do not believe that the board has negotiated a sufficiently attractive deal with Capricorn for Warriedar shareholders to relinquish the potential upside ahead. Therefore, I will be voting no to the proposed Scheme of Arrangement, in accordance with the terms of my intention statement.
