A spokesman for the ASX told The Australian that the question of whether a delisting should be subject to an ordinary or special resolution was under consideration following a recent public consultation on the exchange’s policies.
“ASX’s rules and guidance regularly evolve to keep standards high and meet the changing dynamics of the market,” the spokesman said. “ASX is actively looking at the issue of whether a voluntary delisting should require an ordinary or a special resolution vote of shareholders.” Any switch could be in place quickly, given it would need a change in ASX policy rather than its rules.
Flinders originally said the delisting plan reflected the lack of liquidity in the stock, a lack of financial support for recent raisings, and the ongoing costs of maintaining a listing. The minority shareholders however had accused the Todds of trying to squeeze them out.
