    ploughing through the first 60 pages or so, and I'm very happy to be corrected if wrong....

    The deal gives an 'option deed' to buy approx 20% of B Gray's shares, but he still holds 17% with which he can do what he wants.

    Cephalon only get to compulsorily purchase if they get >90%. With 6.5 all ready spoken for, even if Gray sells them his remaining 17%, that seems unlikely.

    Therefore....

    If you hold on and Cephalon get half the share capital, they will use their resources and marketing machine in USA and Europe to drive sales and sphere production....
    (therefore not losing their headstart over rivals)

    And the company remains quoted in Australia.

    Looks like a no brainer.
