There seems to be a bit of confusion here, so I’ll just lay out what I’ve found from my own reading over the last few days. This has been done in between work and looking after two young kids, so I’m not claiming to be a FIRB specialist — but I’ve spent a fair bit of time working through the Act, the Regulations and the FIRB guidance, and I’m pretty confident this reflects how the rules are actually applied.
First point: where offices are located doesn’t matter. FIRB isn’t interested in addresses or where management happens to sit. What matters is whether a foreign person is acquiring an interest in an Australian asset. IVZ is an Australian company so FIRB jurisdiction is engaged straight away.
The more important issue is who the investor is.Al Mansour isn’t just a generic foreign private investor. It’s associated with a senior member of the Qatar royal family, and under FIRB guidelines that’s highly relevant. FIRB doesn’t just look at corporate structures on paper — it applies a substance-over-form approach, including who ultimately controls the investment, where the capital comes from, and whether the investor can reasonably be regarded as state-linked.
A “foreign government investor” under Australian law can include entities or individuals that are closely connected to a foreign government. In the case of ruling families in monarchies, FIRB has historically treated senior members as foreign-government-linked unless there is clear evidence that their investments are genuinely independent of the state. That assessment is made case-by-case, but the connection itself is enough to put FIRB scrutiny firmly on the table.
Once an investor is treated as a foreign government investor, the framework changes materially:there is effectively a zero-dollar monetary thresholdany direct interest in an Australian company requires FIRB approvalthe usual assumptions people make about percentage thresholds don’t apply.
This is where a lot of wires seem to get crossed. The 19.9% figure is relevant for takeover and Corporations Act purposes, not for determining whether FIRB approval is required. FIRB is a separate regime with different triggers. If the investor is a foreign government investor, holding 19.9% does not sit outside the approval regime simply because it’s below a takeover threshold.
It’s also not quite right to say the 19.9% and the 30.1% are “completely separate” for FIRB purposes. FIRB looks at the overall transaction context, including cumulative interests, step transactions, and how control or influence could arise over time. It doesn’t assess each step in isolation just because each one, viewed alone, sits below a particular percentage.
FIRB reviews involving state-linked investors can:take months, involve governance frameworks and undertakings, and require detailed back-and-forth with Treasury. If that process had been completed and lodged earlier, approval might already be in place.
If anyone thinks what I’ve stated here is wrong, that’s fine — I’m not suggesting this is beyond debate. But the way to test it isn’t arguing mere opinions, It’s to read the Foreign Acquisitions and Takeovers Act, the Regulations, and the FIRB Guidance Notes on foreign government investors and direct interests, and decide for yourself what’s true and what isn’t.
What this means for AMH’s proposed investment in IVZ, whether it be 19.9%, 50% or a full takeover, nobody here can claim to know. We’ll just have to wait and see, but chances are, another deferral is on the cards on or before 27/02/2026z
