    I think the Company Secretary is like the "Registered Agent" you describe in that the secretary is the comapny officer on legal documents etc. Announcements relating to issues, record dates etc seem to come from the secretary as opposed to general statements which might come from the Chairman or MD. Don't know what the rules might be regarding when it must be the secretary rather than some other officer or vice versa.
