    I think it's just because the NASDAQ controls on issuance of new securities without shareholder approval are looser than the ASX's 15% in 12 months limit. UNS has (sensibly) been able to pursuade the ASX to be comfortable with new issues by UNIS so long as it complies with the (more liberal) NASDAQ rules. This way, UNIS only has to comply with one set of exchange rules re new issues. Without this waiver, UNS would have had to get shareholder approval under the ASX rules in order to be able to issue the shares under the ATM and the other equity facility. With the waiver, UNIS only needs to make sure that it complies with the NASDAQ rules on new issuance.
