    All Directors are under a strict fiducial duty to put shareholder interests first. The law is clear on this.

    The problem is the law has to be enforced. ASIC and ASX really don't want to get involved in pump and dump penny stocks like CDB when they have the big guys to deal with.

    If CDB goes into Administration then the Directors could personally be held accountable for things like approving the "mates" projects, approving ridiculous pay and bonuses to company executives, not updating the market on key events and allowing misleading announcements to be published (just as examples of course).

    The Darby Team obviously feel bullet proof but I cant understand why a lawyer and accountant would put their professional reputation and future career on the line for this penny dreadful company. If they can't get things to change then the law demands the Director resigns (as if they stay they accept responsibility for the continued actions) which is why IMO we have seen so many resignations.
